Terms and Conditions
Tax2efile is an online tax filing platform provided by Yakshna Corporation (“Tax2efile,” “we,” “us,” or “our”). These Terms and Conditions (“Terms”) govern your use of www.tax2efile.com (the “Website”), your account, and related electronic filing services (collectively, the “Services”).
By affirmatively accepting these Terms through the acceptance mechanism presented during registration or checkout, you agree to be bound by them. Electronic acceptance and records are governed by applicable law, including the Virginia Uniform Electronic Transactions Act (Va. Code § 59.1-479 et seq.) and the Electronic Signatures in Global and National Commerce Act (15 U.S.C. § 7001 et seq.), where applicable. If you do not agree, do not use the Services. If you act on behalf of an organization, you represent that you are authorized to bind it.
These Terms, together with any applicable product-specific terms and filing authorizations, constitute the agreement between you and Tax2efile concerning the Services. The Tax2efile Privacy Policy (available at https://www.tax2efile.com/privacy-and-policy/) describes our information practices. Separate taxpayer consents required by law (including under IRC § 7216 and 26 C.F.R. § 301.7216) remain effective according to their own terms and are not superseded by these Terms.
Services and Eligibility
Tax2efile provides an online platform through which individuals, businesses, and tax professionals may prepare and electronically submit supported tax returns, information returns, extensions, and related filings.
Tax2efile provides electronic filing services in accordance with applicable IRS e-file program requirements and maintains safeguards designed to protect taxpayer information. Unless expressly stated for a particular service, Tax2efile provides self-preparation tools and does not furnish individualized tax, legal, accounting, or financial advice. You must have legal capacity to accept these Terms, meet any age and eligibility requirements applicable to your account or filing, and have authority to act for any person or organization on whose behalf you use the Services. If you use the Services as a tax professional, you represent that you hold all licenses, registrations, and authorizations required by the IRS and applicable state taxing authorities, including an Electronic Filing Identification Number (EFIN) where required for the services you perform.
Accounts and User Responsibilities
You agree to provide accurate, complete, and current information and to maintain the confidentiality of your account credentials. You are responsible for all activity conducted through your account to the extent attributable to your actions or failure to safeguard access. Notify Tax2efile promptly at support@tax2efile.com of suspected unauthorized access. You are responsible for reviewing the accuracy and completeness of all information and completed forms before authorizing submission. If you file on behalf of another person or entity, you represent that you have obtained all required authority, notices, permissions, and consents, and have complied with applicable IRS requirements for Electronic Return Originators to the extent those requirements apply to your role and the relevant filing.
Electronic Filing and Acceptance
A return is not filed merely because it has been prepared or a fee paid. You must complete all required filing steps and provide applicable taxpayer authorization (including Form 8879 or an equivalent authorization where required for the relevant filing) before transmission. Preparation, transmission, government receipt, and acceptance are distinct events. Tax2efile does not control the IRS or other taxing authorities and cannot guarantee acceptance, processing times, or a particular tax result. You are responsible for monitoring filing-status notices, correcting rejected returns, and arranging resubmission within applicable deadlines. You remain responsible for tax liabilities, payments, and filing deadlines; an extension of time to file generally does not extend the time to pay. Nothing in these Terms limits any duty imposed on Tax2efile by applicable law.
Fees, Refunds, and Credits
Applicable service fees are disclosed before purchase and are separate from any tax payable to a taxing authority. By completing a purchase, you authorize the disclosed charges.
Under the currently published Pricing and Refund Policy, refund requests must be made within 30 calendar days after payment. Approved refunds generally take 5–7 business days to process. Refunds are not available once a return has been transmitted to the IRS, including where a federal agency rejects the return during processing. Eligible corrections may be retransmitted at no additional charge. A change to the EIN, form type, or tax year after payment or submission may be treated as a new, chargeable return. These provisions are subject to any refund rights required by law and the terms disclosed for the purchased service.
Standard credits purchased through Tax2efile.com expire 90 calendar days after purchase. Unused credits automatically expire and cannot be reinstated. Specific professional or prepaid offers may have different terms, which govern that purchase. All credit restrictions apply only to the extent permitted by law.
Communications
Tax2efile may contact you concerning account activity, payments, filing status, security, and other matters necessary to provide the Services. Marketing communications will be sent only as permitted by applicable law and subject to any required consent. You may opt out of marketing through the instructions provided in the communication; opting out does not prevent essential service notices. All communications are subject to the TCPA (47 U.S.C. § 227), CAN-SPAM Act (15 U.S.C. § 7701 et seq.), and other applicable laws.
Acceptable Use and Intellectual Property
You may use the Services solely for lawful purposes consistent with their intended operation. You may not: (a) submit information without proper authorization; (b) engage in fraudulent or knowingly false filings; (c) interfere with the Services or their security; (d) access another user’s account without permission; (e) introduce malicious code; (f) copy, scrape, reverse engineer, or resell the platform except as authorized by Tax2efile or permitted by law; or (g) use automated scripts or bots to access or burden the Services without authorization. Tax2efile reserves the right to refuse to transmit or report any return it reasonably suspects is fraudulent or in violation of IRS e-file program requirements.
Tax2efile and its licensors retain all rights in the platform, software, content, and trademarks. You receive a limited, nonexclusive, nontransferable, revocable license to use the Services for your personal or business tax filing purposes. You retain ownership of information you submit and authorize its processing to provide the Services, subject to the Privacy Policy and any legally required separate consent.
Service Availability, Suspension, and Force Majeure
The Services may be interrupted by maintenance, technical issues, or outages affecting Tax2efile, its service providers, or government systems. Tax2efile does not guarantee uninterrupted or error-free operation. Tax2efile may modify features or restrict or suspend access when reasonably necessary to address suspected fraud, security threats, unlawful conduct, violations of these Terms, or legal obligations, with notice when reasonably practicable and required by law. Third-party websites and government systems are operated independently.
To the extent permitted by law, Tax2efile shall not be liable for a failure or delay in performing its obligations caused by circumstances beyond its reasonable control, including natural disasters, government actions, taxing-authority outages, cyberattacks, telecommunications failures, or third-party service disruptions. This provision does not excuse obligations or remedies that cannot lawfully be excluded.
Privacy, Data Security, and Taxpayer Authorizations
The Tax2efile Privacy Policy describes the collection, use, disclosure, protection, and retention of information and is incorporated into these Terms by reference. Tax2efile maintains safeguards designed to meet applicable legal and IRS e-file program requirements. Applicable filing authorizations and separate taxpayer consents remain effective according to their terms. Agreement to these Terms does not replace any consent required by law for the use or disclosure of tax return information.
Tax2efile will provide notices of qualifying security incidents to affected individuals and relevant authorities as required by applicable law, including Va. Code § 18.2-186.6 where applicable.
Nothing in these Terms waives any nonwaivable rights under applicable privacy or consumer protection laws, including the Virginia Consumer Data Protection Act (Va. Code § 59.1-575 et seq.) where applicable.
Disclaimers and Limitation of Liability
TO THE EXTENT PERMITTED BY LAW, THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. TAX2EFILE DOES NOT GUARANTEE UNINTERRUPTED OR ERROR-FREE OPERATION, GOVERNMENT ACCEPTANCE, PROCESSING TIMES, OR TAX OUTCOMES.
TO THE EXTENT PERMITTED BY LAW, YAKSHNA CORPORATION AND ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND SERVICE PROVIDERS (COLLECTIVELY, THE “PROTECTED PARTIES”) SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR DAMAGES FOR LOST PROFITS, LOST DATA, OR BUSINESS INTERRUPTION, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), STATUTE, OR ANY OTHER LEGAL THEORY, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
THE AGGREGATE LIABILITY OF THE PROTECTED PARTIES FOR ALL CLAIMS ARISING FROM OR RELATED TO AN AFFECTED SERVICE SHALL NOT EXCEED THE FEES PAID BY YOU FOR THAT SERVICE DURING THE 12 MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.
These limitations do not apply to: (i) fraud, willful misconduct, or intentional torts; (ii) death or personal injury caused by negligence; or (iii) liability that cannot lawfully be excluded or limited under applicable federal or state law, including applicable consumer protection and privacy laws, such as the Virginia Consumer Protection Act (Va. Code § 59.1-196 et seq.) and the Virginia Consumer Data Protection Act (Va. Code § 59.1-575 et seq.), to the extent applicable. You acknowledge that these limitations are a fundamental basis of the bargain and that Tax2efile would not provide the Services at the offered prices without them.
Indemnification
To the extent permitted by law, business users and tax professionals agree to indemnify, defend, and hold harmless Yakshna Corporation and its affiliates, officers, directors, employees, agents, and service providers against third-party claims, damages, liabilities, and reasonable costs and attorneys’ fees arising from (a) their fraudulent or knowingly false submissions; (b) filings made without required authority or consent; or (c) their unlawful misuse of the Services, except to the extent attributable to Tax2efile’s own wrongful conduct. This provision does not impose an indemnification obligation on an individual consumer solely for ordinary personal use of the Services.
Account Closure and Changes to These Terms
You may request account deletion through available account settings or by contacting support@tax2efile.com. Closing an account does not require deletion of information retained in accordance with the Privacy Policy, IRS recordkeeping requirements, or applicable law. Tax2efile may suspend or close your account for violations of these Terms, suspected fraudulent or unlawful activity, extended inactivity, or legal or IRS requirements, with notice when reasonably practicable and required by law. Provisions that by their nature are intended to survive termination, including limitations of liability, indemnification, and dispute resolution, shall survive to the extent enforceable.
Changes. Tax2efile may revise these Terms by posting an updated version and providing additional notice of material changes where required by law. Changes required for security, legal compliance, or IRS program requirements may take effect when necessary. Revised Terms apply prospectively as permitted by law. Continued use following notice and the effective date constitutes acceptance only to the extent permitted by applicable law. Tax2efile will not apply a material adverse change to Section 12 to a dispute that arose before the change without the affected user’s affirmative consent. Changes do not replace any separately required taxpayer consent.
Dispute Resolution: Arbitration and Class Action Waiver
Except as provided below, any dispute, claim, or controversy arising out of or relating to these Terms, the Services, or the relationship between you and Tax2efile shall be resolved by binding individual arbitration, rather than in court. Either party may bring an individual action in small claims court if the dispute qualifies for that forum and remains there.
The following are not subject to arbitration: (a) claims under the Virginia Consumer Data Protection Act or other data protection laws to the extent they cannot lawfully be subject to mandatory arbitration; (b) claims for injunctive or equitable relief relating to intellectual property, data security, or unauthorized use; (c) claims that cannot lawfully be subject to mandatory arbitration; and (d) enforcement of an arbitration award.
Each party may bring claims only on an individual basis and not as a plaintiff or class member in any purported class, consolidated, or representative action. The arbitrator may not consolidate more than one person’s claims. If any court or arbitrator determines the class action waiver is unenforceable as to a particular claim, that claim shall proceed in court and all other claims remain subject to arbitration.
Before filing for arbitration, the parties shall attempt to resolve the dispute informally within 60 days of a written Notice of Claim. Arbitration shall be administered by the American Arbitration Association (“AAA”) under its Consumer Arbitration Rules (for consumer claims) or Commercial Arbitration Rules (for business claims), by a single neutral arbitrator, with any in-person hearing for a consumer held in a reasonably convenient location or remotely as permitted by applicable AAA rules, applying Virginia substantive law (without regard to conflict of law principles) to the extent not preempted by federal law, including the Federal Arbitration Act (9 U.S.C. § 1 et seq.). The arbitrator may award any remedy available in court but may not award punitive damages except where permitted by law. The award is final and binding, and judgment may be entered in any court of competent jurisdiction.
For individual consumer claims, fees and costs shall be allocated in accordance with the applicable AAA Consumer Arbitration Rules and fee schedule. Tax2efile shall pay any additional amounts required by law or necessary to prevent arbitration from being prohibitively expensive for the consumer. For business claims, fees and costs shall be allocated in accordance with the applicable AAA rules and fee schedule, except as otherwise required by law. The arbitrator may award attorneys’ fees and costs to the prevailing party to the extent permitted by law and the applicable AAA rules. Either party may seek provisional or interim relief from a court to preserve rights pending arbitration.
You may opt out of this Section 12 by sending a written notice to Tax2efile at 950 Herndon Parkway, Suite 410, Herndon, VA 20170, or support@tax2efile.com, within 30 calendar days after you first accept these Terms. The notice must include your full name, email address, account information, and a clear statement that you wish to opt out. If you opt out, disputes will be resolved in court as provided in Section 13 and the class action waiver shall not apply.
If any provision of this Section 12 is held unenforceable, it shall be severed and the remaining provisions remain in full force and effect.
General Provisions and Contact
These Terms shall be governed by the laws of the Commonwealth of Virginia, without regard to its conflict of law provisions, to the extent not preempted by federal law. Consumers retain the protections of their home state’s consumer protection laws to the extent such protections cannot be waived by agreement.
Subject to Section 12, any non-arbitrated action shall be brought exclusively in the state or federal courts located in Fairfax County, Virginia. Each party consents to personal jurisdiction and waives any objection based on forum non conveniens, except that a consumer may bring an action in the consumer’s state of residence if required by applicable consumer protection law.
If any provision is held unenforceable, the remaining provisions remain effective. No failure to enforce a provision is a waiver. You may not assign these Terms without Tax2efile’s prior written consent; Tax2efile may assign in connection with a merger, acquisition, or sale of assets. The parties are independent contractors; nothing herein creates a partnership, joint venture, or agency relationship. Notices to Tax2efile may be sent to the address below; notices to you will be sent to the email associated with your account. You consent to receive communications in electronic form. Section headings are for convenience only. “Including” means “including without limitation.” These Terms shall not be construed against either party as the drafter. Tax2efile operates as an authorized IRS e-file provider; in the event of a direct conflict between these Terms and mandatory IRS requirements, the IRS requirements control to the extent of the conflict.
